    Inovance (“the Company”) upholds integrity as the cornerstone of its business conduct. The Company strictly adheres to commercial ethics, complies with all applicable laws and regulations, and enforces a zero-tolerance policy against bribery and corrupt practices. In accordance with this principle, the Company hereby issues this statement.

    1.     Definitions, Compliance and Promise

    1.1  Definitions

    • “Inovance” refers to Shenzhen Inovance Technology Co., Ltd. and its global subsidiaries under direct or indirect control.

    • “Bribery” refers to any act of providing money, goods, or benefits with corrupt intent, including, without limitation, cash, cash equivalents such as gift cards, precious metals, inappropriate gifts, lavish travel or entertainment, improper charitable donations, or sponsorships and other things of value.

    • “Public officials” refer to individuals holding public office under law, including, without limitation, government employees, representatives of state entities, employees of state-owned enterprises, political party members or candidates, and staff of international organizations. When engaging with public officials, due diligence shall be exercised to ensure adherence to all applicable laws, the integrity and ethical obligations governing such officials, and the provisions of this Statement.

    1.2  Compliance. Where this policy conflicts with local laws, the stricter requirement applies.

    1.3  Promise. The Company promises to conduct thorough investigations into all reported concerns and explicitly prohibits any act of retaliation against whistleblowers.

    2.     Integrity Requirements

    Inovance requires that all global partners—encompassing suppliers, service providers, subcontractors, distributors, agents, consultants, ecosystem collaborators, and associated entities—must maintain full compliance with applicable laws and regulations, uphold industry-standard ethical practices, and satisfy all provisions outlined in this Statement. This obligation extends to all partner activities conducted in service of Inovance, including but not limited to contractual performance, client engagements, and any third-party interactions undertaken on the Company’s behalf.

    2.1  Prohibit all forms of bribery and corrupt activities, including but not limited to the following:

    • Partners are prohibited from using the Company’s funds, assets, or other valuables, directly or indirectly, to bribe public officials, business partners, or any individual who may influence a transaction for the purpose of obtaining or retaining a business advantage.

    • The Company strictly prohibits employees from offering or accepting bribes. If any Company’s employee attempts to involve partners in bribery including without limitation through collusion, coercion, or facilitation, partners shall expressly reject such requests and immediately report the incident to the Company.

    • The Company maintains a zero-tolerance policy toward bribing its employees in any form.

    2.2  Refrain engaging in any misconduct, including facilitating or condoning, or otherwise enabling misconduct by business partners, that could result in joint legal liability for the Company.

    2.3  Maintain complete, truthful, and accurate books and records; prohibit the creation of false, incomplete, forged, or misleading entries in any financial document and never establish or use undisclosed accounts or off-the-books funds under any circumstances.

    2.4  Implement a robust compliance framework. Ensure the Company’s anti-corruption standards are cascaded to all employees and partners, with regular compliance reviews to ensure adherence to applicable laws and the Company’s anti-bribery requirements.

    2.5  Cooperate with the Company’s work.

    3.     Violation Consequences

    If any partner violates this policy, makes false or deceptive statements, or if the Company has reasonable grounds to believe such conduct has occurred, the Company reserves the right to immediately suspend or terminate the partnership upon written notice and retains the right to pursue legal liability.
